Terms of Service

These Terms govern participation in SPRK Network ("SPRK," "we," "us," or the "Platform"). By submitting content or using SPRK, you agree to these Terms. If you use SPRK on behalf of a company, you represent you have authority to bind that company.

Eligibility & Accounts

You must be at least 18 (or the age of majority in your location) and legally able to enter contracts. You are responsible for safeguarding your credentials and for all activity under your account.

Independent Contractor Status

You participate as an independent contractor. No partnership, joint venture, employment, or agency relationship is created. You manage your own taxes, registrations, and compliance obligations.

Content Rights & Licenses

You represent and warrant you own or have all rights, licenses, and releases for any content you submit (including music, likeness, trademarks, and IP). You grant SPRK a worldwide, royalty-free license to host, store, display, adapt for placement, and distribute your content as needed to operate and promote the program.

Responsibility & Compliance

You are solely responsible for your content and for complying with applicable laws, platform rules (e.g., TikTok, Meta), advertising policies, endorsements, and disclosures. SPRK relies on your representations and may request proof of rights or compliance at any time.

Program Participation

Participation, prompts, angles, examples, and guidance are informational only and do not constitute approvals, guarantees, or legal advice. We may adjust eligibility, requirements, or program criteria at any time to protect platform integrity.

Prohibited Content

Do not submit content that is illegal, infringing, deceptive, hateful, violent, or that violates platform advertising rules (including restricted categories like tobacco, weapons, or misleading claims). We may remove or reject content without notice.

Payouts, Withholding & Offsets

Payouts are subject to verification, platform performance, fraud checks, and applicable fees. SPRK may withhold or delay payouts, offset losses, chargebacks, or policy violations, and require additional verification (including tax information) before releasing funds.

Taxes

You are responsible for all taxes, filings, and reporting associated with your earnings. We may collect required tax forms and may withhold amounts where legally required.

Monitoring, Removal & Suspension

We may monitor, remove content, pause campaigns, or suspend/terminate access to protect compliance, safety, or operational integrity. We may disable features or restrict access where we detect risk, fraud, or repeated violations.

Third-Party Platforms & Services

Your use of third-party platforms (e.g., TikTok, payment processors) is subject to their terms. SPRK is not responsible for outages, policy changes, moderation, or decisions made by those platforms.

Confidentiality

Non-public prompts, angles, rates, dashboards, and payout data are confidential. Do not disclose them without our written consent.

Indemnification

You agree to indemnify and hold SPRK and its affiliates harmless from claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your content, conduct, or breach of these Terms.

Disclaimers

SPRK is provided “as is.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. We do not guarantee specific earnings, performance, or approvals.

Limitation of Liability

To the fullest extent permitted, SPRK is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim is limited to the amount you were paid by SPRK in the three months preceding the claim.

Changes to These Terms

We may update these Terms. Continued use after updates means you accept the revised Terms. Material changes will be indicated by an updated date or additional notice where required.

Governing Law & Disputes

These Terms are governed by the laws of our operating jurisdiction, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of that jurisdiction, unless a separate agreement provides otherwise.
